Terms of Use

By using the Services, you represent and warrant that:

• You are at least 18 years old.
• You have the legal capacity and authority to enter into this Agreement.
• You will use the Services only in compliance with applicable law and professional obligations.
• You have not previously been suspended or removed from the Services, unless EverCPE.com has expressly agreed otherwise in writing.
• If you are using the Services on behalf of an organization, you have authority to bind that organization to this Agreement, and "you" includes both you and that organization.

To access certain features, you may be required to register for an account. You agree to provide accurate, current, and complete registration and other requested information, and to keep that information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must promptly notify EverCPE.com of any unauthorized use of your account or any other suspected security breach. EverCPE.com is not liable for losses arising from your failure to safeguard your account credentials or notify us of unauthorized use.

You may not share your account with any other person or permit any other person to access the Services through your credentials, except where EverCPE.com expressly authorizes enterprise or team access in writing.

Subject to your compliance with this Agreement and payment of all applicable fees, EverCPE.com grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal internal educational and professional development purposes during the applicable subscription period, course access period, or other paid term.

For individually purchased courses, access will continue for the period stated at the time of purchase. If no different period is stated, course access will continue for one (1) year from the date of purchase. For subscriptions, access will continue for the duration of the active subscription term.

This license does not transfer any ownership rights in the Services or Content. All rights not expressly granted are reserved by EverCPE.com and its licensors.

You agree to pay all fees, charges, taxes, and other amounts applicable to your use of the Services at the prices in effect when incurred. Unless otherwise stated, all fees are quoted and payable in U.S. dollars.

If you purchase a subscription that renews automatically, you authorize EverCPE.com to charge your designated payment method on a recurring basis until you cancel. You may cancel future renewals at any time before the next renewal date through your account settings or by contacting support.

Except as required by law or as expressly stated in a posted refund policy, fees are non-refundable once paid. EverCPE.com may issue refunds, credits, or adjustments in its sole discretion.

EverCPE.com may change pricing, subscription features, course access terms, or billing practices at any time upon prior notice where required by law.

You may use the Services only for lawful purposes and only in accordance with this Agreement. You shall not, and shall not permit any third party to:

• Copy, reproduce, republish, distribute, publicly display, or create derivative works from the Services or Content, except as expressly authorized by EverCPE.com.
• Sell, sublicense, rent, lease, assign, time-share, or otherwise commercially exploit the Services or Content.
• Use the Services for competitive analysis, benchmarking, monitoring availability or performance, or building a competing product or service.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, algorithms, models, prompts, or structure from any part of the Services, except to the limited extent prohibited by applicable law.
• Use any robot, scraper, spider, crawler, harvesting tool, or automated means to access, monitor, or copy the Services or Content, except as expressly authorized in writing.
• Bypass, disable, interfere with, or circumvent security features, usage restrictions, or access controls.
• Upload, submit, or transmit any unlawful, defamatory, infringing, harmful, malicious, or fraudulent material.
• Upload confidential information, personally identifiable information, protected health information, non-public financial information, or other sensitive data unless you have all rights and permissions necessary to do so and the information has been appropriately anonymized where required.
• Misrepresent your identity, credentials, course or session completion status, attendance, identity verification, or eligibility for CPE credit.

Certain features of the Services may use artificial intelligence, machine learning, large language models, automated scoring, recommendation systems, or other algorithmic or automated tools (collectively, "AI Tools"). AI Tools may generate content, explanations, summaries, study materials, recommendations, assessments, responses, or other outputs ("AI Output").

AI Output is provided for educational and informational purposes only. AI Output may be incomplete, inaccurate, outdated, biased, or unsuitable for your particular facts, jurisdiction, engagement, employer policies, professional standards, or regulatory requirements. You are solely responsible for reviewing, evaluating, and independently verifying any AI Output before relying on it for any accounting, tax, audit, reporting, compliance, advisory, educational, licensing, business, legal, or professional purpose.

AI Tools do not provide legal, accounting, tax, audit, attest, investment, employment, or other professional advice, and use of AI Tools does not create any fiduciary, advisory, client, professional, or other special relationship between you and EverCPE.com. You must not rely on AI Output as a substitute for professional judgment, qualified human review, consultation with competent advisors, or compliance with applicable professional standards, firm policies, or regulatory rules.

EverCPE.com does not warrant that AI Tools or AI Output will be available, uninterrupted, error-free, explainable, reproducible, or suitable for any particular purpose. EverCPE.com may modify, suspend, replace, limit, or discontinue AI Tools or related functionality at any time, with or without notice. AI Output may vary over time for the same or similar prompts or inputs.

You are solely responsible for the content, legality, quality, accuracy, and rights associated with any prompts, data, files, documents, questions, or other materials you submit to AI Tools ("AI Inputs"). You represent and warrant that you have all rights, permissions, and legal bases necessary to submit AI Inputs and that doing so does not violate any law, confidentiality obligation, privacy right, contractual restriction, or professional duty.

EverCPE.com may use AI Inputs and related usage data as described in the Privacy Policy and applicable product documentation, including for purposes of operating, maintaining, securing, improving, and training or evaluating the Services, except to the extent otherwise expressly stated in a separate written agreement.

EverCPE.com offers educational content that may qualify for continuing professional education ("CPE") credit where expressly identified. Eligibility for CPE credit is subject to successful completion of all applicable requirements, which may include attendance verification, participation tracking, polling responses, minimum seat time, exam completion, minimum passing scores, identity verification, acknowledgment of course policies, or other conditions communicated through the Services or course materials.

EverCPE.com may issue certificates of completion, transcripts, attendance records, or other documentation based on information available in its systems. You are responsible for reviewing your records promptly and notifying EverCPE.com of any alleged discrepancy within a reasonable time.

Unless EverCPE.com expressly guarantees otherwise in writing, EverCPE.com does not warrant or guarantee that any course, credit, certificate, reporting submission, or completion record will be accepted by any specific state board of accountancy, regulator, employer, licensing body, membership organization, oversight body, or other third party. Acceptance of CPE credit may vary based on jurisdiction, license type, delivery format, subject matter, sponsor status, reporting deadlines, ethics requirements, and other rules outside EverCPE.com's control.

You are solely responsible for determining whether a course satisfies your jurisdiction's continuing education requirements and for complying with all applicable licensing, reporting, record-retention, ethics, and professional obligations. EverCPE.com is not responsible for losses, penalties, disciplinary actions, missed deadlines, rejected credits, license lapses, or other consequences arising from your failure to meet such requirements.

EverCPE.com reserves the right to deny, withhold, adjust, rescind, or revoke any certificate, completion record, transcript entry, or claimed CPE credit if EverCPE.com reasonably suspects fraud, identity sharing, cheating, false attendance, manipulation of course completion requirements, violation of this Agreement, or other conduct inconsistent with applicable policies or sponsor rules.

Where EverCPE.com offers reporting or data submission to state boards, employers, learning management systems, or other third parties, such reporting is provided as a convenience only and may be subject to delays, errors, outages, formatting issues, or external system limitations. You remain solely responsible for confirming that required credit was properly reported and accepted.

The Services, including all courses, videos, webinars, articles, templates, examples, AI Output, case studies, discussion materials, technical commentary, and other Content, are provided solely for general educational and informational purposes.

The Services do not constitute legal, accounting, tax, audit, attest, investment, employment, valuation, compliance, or other professional advice. The Services do not take into account your specific facts, circumstances, jurisdiction, engagement terms, materiality thresholds, risk tolerance, or regulatory environment.

Your use of the Services does not create a CPA-client, attorney-client, advisory, fiduciary, employment, joint venture, or other professional relationship between you and EverCPE.com or any instructor, presenter, contributor, contractor, or affiliate of EverCPE.com.

You are solely responsible for your professional judgments, work product, client deliverables, compliance decisions, filings, documentation, research conclusions, and reliance decisions. You should consult qualified advisors and applicable authoritative guidance before acting or refraining from acting based on the Services.

If you submit, upload, post, transmit, or otherwise make available any comments, reviews, suggestions, feedback, ideas, testimonials, survey responses, discussion posts, prompts, files, or other materials through the Services (collectively, "Submissions"), you grant EverCPE.com a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to use, host, store, reproduce, modify, adapt, publish, translate, distribute, display, perform, and otherwise exploit such Submissions for the purpose of operating, improving, promoting, and providing the Services and related business operations.

You represent and warrant that you own or control all rights necessary to provide the Submissions and to grant the foregoing license, and that your Submissions do not violate any law or infringe, misappropriate, or otherwise violate any third-party rights.

You remain solely responsible for your Submissions. EverCPE.com has no obligation to monitor, verify, or remove Submissions, but may do so at any time in its sole discretion.

Notwithstanding the foregoing, personally identifiable information, account data, payment information, and educational records will be handled in accordance with the Privacy Policy rather than this Section alone.

The Services, and all text, graphics, logos, icons, images, audio, video, software, course materials, instructional content, compilations, user interfaces, design elements, trademarks, service marks, trade names, and other materials made available through the Services (collectively, "Content") are owned by or licensed to EverCPE.com and are protected by copyright, trademark, trade secret, and other intellectual property and proprietary rights laws.

Nothing in this Agreement transfers to you any ownership interest in the Services or Content. Except for the limited license expressly granted in this Agreement, no right, title, or interest in the Services or Content is granted to you.

EverCPE.com, the EverCPE.com name, logos, and associated branding are trademarks or service marks of EverCPE.com or its affiliates. You may not use them without prior written permission.

The Services may contain links to third-party websites, tools, platforms, integrations, content, products, or services, or may enable you to interact with third-party providers. EverCPE.com does not control and is not responsible for third-party services or content.

Your dealings with third parties are solely between you and the applicable third party. EverCPE.com makes no representation or warranty regarding any third-party service, communication, content, security, availability, or privacy practice, and disclaims liability arising from your use of or reliance on any of them.

Your use of the Services is also governed by the EverCPE.com Privacy Policy, which describes how personal information and certain usage data may be collected, used, disclosed, and otherwise processed. By using the Services, you acknowledge and agree that EverCPE.com may collect and process information in accordance with the Privacy Policy.

EverCPE.com may suspend, restrict, or terminate your access to the Services, in whole or in part, at any time and in its sole discretion, with or without notice, including if EverCPE.com believes that you have violated this Agreement, failed to pay applicable fees, engaged in fraud or misuse, posed a security or legal risk, or otherwise used the Services in a manner that could harm EverCPE.com, its users, or third parties.

You may stop using the Services at any time. If you wish to cancel a subscription, you must do so in accordance with the cancellation procedures made available through the Services.

Upon termination, the licenses and rights granted to you under this Agreement will immediately cease, except that any provisions that by their nature should survive termination will survive, including provisions relating to ownership, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and other continuing obligations.

EverCPE.com shall have no obligation to maintain or provide continued access to any Content, course history, certificates, transcripts, or account data after termination, except as required by law or expressly stated in a separate written policy.

You agree to defend, indemnify, and hold harmless EverCPE.com and its affiliates, licensors, contractors, instructors, contributors, officers, directors, employees, and agents from and against any and all claims, actions, demands, proceedings, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your access to or use of the Services.
• Your Submissions, AI Inputs, or other materials you provide.
• Your violation of this Agreement.
• Your violation of any law, professional obligation, or third-party right.
• Your reliance on or misuse of any Content, AI Output, CPE record, or certificate.

EverCPE.com reserves the right, at its expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with EverCPE.com in asserting any available defenses.

This Agreement and any dispute arising out of or relating to this Agreement or the Services shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its applicable rules for commercial disputes, as modified by this Section.

The arbitration shall be conducted primarily by remote or online means, including video conference, teleconference, or other virtual platforms, unless the parties agree otherwise in writing or the arbitrator determines that an in-person proceeding is necessary.

The legal seat and place of arbitration shall be Washington, District of Columbia, United States of America, regardless of the location from which any party, witness, arbitrator, or hearing participant attends or participates.

The arbitration shall be conducted in English. This Agreement and any dispute arising out of or relating to this Agreement or the Services shall be governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

Either party may seek temporary, preliminary, or permanent injunctive relief, or an order compelling arbitration or enforcing an arbitral award, in any court of competent jurisdiction, including the state and federal courts located in or serving Prince William County, Virginia.

The arbitrator may award costs and reasonable attorneys' fees to the prevailing party or otherwise allocate such costs and fees as permitted by applicable law and the circumstances of the dispute.

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

No waiver of any provision of this Agreement shall be deemed a further or continuing waiver of that provision or any other provision, and any failure by EverCPE.com to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

You may not assign, transfer, delegate, or sublicense this Agreement or any of your rights or obligations under it without EverCPE.com's prior written consent. Any attempted assignment in violation of this Section is void.

EverCPE.com may assign or transfer this Agreement, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

This Agreement, together with any policies or additional terms expressly incorporated by reference, constitutes the entire agreement between you and EverCPE.com regarding the Services and supersedes all prior or contemporaneous agreements, communications, and understandings relating to the subject matter hereof.
